1. Introduction
These Terms and Conditions govern your use of RF1 Technical Services' website, products, and services. By engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these terms.


2. Services Provided
RF1 Technical Services provides managed IT services, cybersecurity solutions, vulnerability management, exploit prevention, and compliance consulting. Our services may include:
✔ Endpoint Security & Threat Prevention (Powered by NinjaOne & SentinelOne)
✔ Vulnerability & Patch Management
✔ Data Protection & Backup Solutions
✔ Compliance Consulting (CMMC, NIST, DFARS, etc.)
✔ 24/7 Monitoring & Incident Response

Services are provided on an as-is and as-available basis. RF1 Technical Services reserves the right to modify, suspend, or discontinue any service at its discretion.

3. User Responsibilities
By using our services, you agree to:

  • Provide accurate and up-to-date information when required.

  • Maintain the confidentiality of your account credentials and access information.

  • Comply with all applicable local, state, and federal laws regarding cybersecurity and data protection.

  • Avoid engaging in any activity that disrupts, damages, or compromises RF1 Technical Services’ infrastructure, networks, or systems.
     

RF1 Technical Services reserves the right to terminate services for violations of these terms or any unauthorized or illegal activity.

4. Payment Terms & Billing

4.1 Pricing & Invoicing

  • All pricing for services will be outlined in a Service Agreement or Proposal before work commences.

  • Payments are due [specify terms, e.g., Net 30 days] after invoicing.
     

4.2 Late Payments

  • Failure to pay invoices on time may result in service suspension or termination.

  • Late payments may incur interest charges of the maximum permitted by law.
     

4.3 Refund Policy

  • Fees for subscription-based services are non-refundable once the service period has begun.

  • Refunds for one-time services may be issued at RF1 Technical Services’ discretion if services are canceled before work commences.
     

5. Intellectual Property & Confidentiality

5.1 Ownership of Content
All materials, content, and software used in providing our services, including logos, branding, reports, and documentation, are the intellectual property of RF1 Technical Services or its licensors. You may not reproduce, distribute, or modify any materials without explicit written permission.

5.2 Confidentiality
Both RF1 Technical Services and the Client agree to maintain the confidentiality of any sensitive information shared during the course of business. This includes but is not limited to:

  • Technical Reports & Security Assessments

  • Client Data & Business Information

  • Security Strategies & Compliance Roadmaps
     

Confidential information may only be disclosed as required by law or with written consent from the disclosing party.

6. Security & Compliance

6.1 Data Protection & Privacy
RF1 Technical Services follows strict data security practices to protect client information. However, you acknowledge that:

  • No system is 100% secure, and RF1 Technical Services cannot guarantee absolute protection from cyber threats.

  • You are responsible for ensuring internal security measures (such as password policies and access control) are followed.
     

6.2 Regulatory Compliance
RF1 Technical Services offers solutions aligned with CMMC, NIST 800-171, DFARS, and other security frameworks. However, compliance obligations remain the client’s responsibility, and RF1 does not guarantee regulatory approval unless explicitly stated in a Service Agreement.

7. Limitation of Liability

To the maximum extent permitted by law, RF1 Technical Services shall not be liable for:

  • Indirect, incidental, or consequential damages resulting from service use.

  • Loss of data, business interruption, or cyber incidents outside RF1 Technical Services’ direct control.

  • Third-party actions, software vulnerabilities, or force majeure events (natural disasters, war, cyberattacks).
     

RF1 Technical Services’ total liability under these terms shall not exceed the fees paid for services within the last 12 months.

8. Service Termination & Suspension

RF1 Technical Services reserves the right to suspend or terminate services under the following conditions:

  • Non-payment of invoices.

  • Violation of security policies or misuse of services.

  • Legal, regulatory, or compliance concerns requiring termination.

  • Any attempt to disrupt, attack, or reverse-engineer RF1 systems.
     

Clients may request service cancellation with 30 days’ notice, subject to any contractual obligations.

9. Dispute Resolution & Governing Law
 

  • Any disputes arising under these terms will be resolved through arbitration in [State or Jurisdiction].

  • These Terms and Conditions shall be governed by the laws of Florida.
     

In case of legal proceedings, the prevailing party is entitled to reasonable legal fees and costs."

10. Changes to Terms & Conditions

RF1 Technical Services may update these Terms and Conditions at any time. We will notify clients of any significant changes via email or our website.
